REGISTRATION AGREEMENT
Welcome to yourlidmatters.com. If you want to register for a team or submit content to yourlidmatters.com (the "Website"), you must enter into this Registration Agreement without change. As used in this Registration Agreement, "we," "our," "us," or "yourlidmatters.com" means General Mills (including its affiliates).
1) Definitions. As used in this Registration Agreement, (a) "Materials" means all content that you submit to yourlidmatters.com, including all photographs, illustrations, graphics and text, (b) "Media" means any means of conveying information, whether now known or hereafter devised, including websites, banner ads, print advertisements and promotional materials and (c) “Team” means the online group which you “joined” (voluntarily agreed to become a member/participant of) via the Website.
2) Eligibility. The Website is limited to people over the age of 18. Children under age 18 may not register for a Team, nor may they submit Materials to the Website. Further, you may not submit any personally identifiable information of or about anyone other than yourself.
3) Restrictions. You may join a Team, submit Materials and communicate with other Team members only if you agree to all of the following rules for interacting with the Website and with Team members:
a. You need to be 18 or older to post anything on the Website.
b. Don't use last names, addresses, email addresses, phone numbers, or any other information that would individually identify you or anyone else. Don't include URLs or hotlinks.
c. Be nice. Don't post anything that's illegal, pornographic, obscene, vulgar, profane, violent, threatening, harassing, libelous, defamatory, derogatory, or racially, ethnically, or otherwise objectionable or mean.
d. Don't try to invade anyone's privacy or harm his or her reputation. If you submit a photo, please make sure it is only a photograph of yourself, or you've gotten permission from everyone appearing in the photograph to submit it to us for posting. Please do not include photographs of children under 18.
e. Don't include political or religious material, commercial solicitations, solicitations for charities, advertisements, or any trademarks, copyrights, or other material that belongs to someone else. Do not submit any professional photos.
f. Don't impersonate someone else or post misleading information.
g. Don't post any false information, any messages containing hidden or disguised meanings or any message which does not seem to fit the context of this Website.
h. Don't transmit anything that contains viruses or anything else that's harmful.
i. If someone sends a note to you via this site or otherwise posts something on this site, recognize that they wrote it – not us – and so don't blame us if they've broken one or more of these rules or posted something that's incorrect. Please let us know if you feel some posting ought to be removed. By all means, read at your own risk and do not rely on any information or advice in any of these postings (e.g. health or medical claims relating to cancer). Consult your doctor for any medical or health care advice.
4) Our Ownership of Materials. By submitting Materials, you assign to yourlidmatters.com all rights in and to the Materials. You understand and acknowledge that you have no rights in the Materials once you submit them to yourlidmatters.com and that we may, in our sole discretion, reproduce, modify, translate, create derivative works from, distribute, transmit, publicly display and otherwise use or license the Materials, in whole or in part, in any manner and Media without restriction and with or without attribution to you or your team. We reserve the right to remove Materials posted to our Website at any time.
5) Right to Use Name and Likenesses. By submitting Materials, you grant this Website the irrevocable permission to use and license all the names and likenesses of any individuals that appear in the Materials or that you submitted in connection with the Materials throughout the world in any manner and Media without restriction.
6) Submitted Ideas. All comments, suggestions, ideas, notes, concepts, recipes or other information disclosed or offered to us by you through this Website or in response to solicitations in this Website shall be deemed and shall remain our property. You understand and acknowledge that we have both internal resources and other external resources that may have developed or may in the future develop ideas identical to or similar to the suggestion or comments to suggestions and that we are only willing to consider the suggestion(s) on these terms. In any event, any suggestion is not submitted in confidence and we assume no obligation, express or implied, by considering it. Without limitation, we shall exclusively own all now known or hereafter existing rights to the suggestions of every kind and nature throughout the Universe and shall be entitled to unrestricted use of the comments for any purpose whatsoever, commercial or otherwise without compensation to the provider of the suggestions.
7) Team Participation. By registering for a Team (including registering to be a Team leader), you understand that you may be contacted by or otherwise interact with or share information with other Team members or the Team Leader. You acknowledge and agree that yourlidmatters.com (including General Mills, Inc. and its affiliates) has no control over, or involvement in, any of these contacts, interactions, or communications and that yourlidmatters.com (including General Mills, Inc. and its affiliates) shall have no responsibility or liability whatsoever arising in any way from the conduct, actions, or omissions of you, the Team leader, or any other Team member. As a Team member, or Team leader, you agree to act responsibly, in compliance with all applicable laws, and in compliance with all terms of this Registration Agreement.
8) Representations, Warranties and Indemnities. You represent and warrant to yourlidmatters.com (including General Mills, Inc. and its affiliates) that (a) you have the right, power, and authority necessary to enter into this Registration Agreement, to fully perform your obligations hereunder, and to grant the rights set forth in Paragraphs 4, 5 and 6 above; (b) you will comply fully with all terms of this Registration Agreement; (c) the Materials submitted to yourlidmatters.com by you, and yourlidmatters.com's exercise of its rights hereunder, do not and will not violate, misappropriate or infringe any intellectual property right of any third party, including but not limited to trademark rights, copyrights, moral rights and privacy or publicity rights of any third party; (d) you possess all rights necessary for the reproduction, distribution, transmission, public performance, public display, and other exploitation of the Materials by yourlidmatters.com as permitted hereunder; (e) the Materials do not violate the restrictions in paragraph 3 above; and (f) all factual statements submitted by you are accurate and not misleading. You agree to indemnify, defend, and hold yourlidmatters.com (including General Mills, Inc. and its affiliates) harmless from all claims, liabilities, damages, and expenses (including, without limitation, reasonable attorneys' fees and expenses) arising from your breach of any representation or warranty set forth in this paragraph or from your breach of any other portion of this Registration Agreement.
9) No Obligation. Although we have the right to include the Materials in the Website or in any Media, we do not have the obligation to do so. We may, in our sole discretion and for any reason, refuse the Materials or temporarily or permanently remove them from our Website at any time.
10) Changes to Registration Agreement. We reserve the right to change any of the terms of this Registration Agreement or the Website at any time in our sole discretion. All changes will be effective upon posting to the Website.
11) Communications. Yourlidmatters.com may communicate with you in connection with the Website or your Materials, electronically and in other Media, and you consent to such communications regardless of any "Customer Communication Preferences" (or similar preferences or requests) you may have indicated on the web sites of yourlidmatters.com or by any other means.
12) Removal From Team. This Website has been set up to allow Team leaders to remove other Team members from their Team in the event that a Team member has violated the terms of this Registration Agreement or is otherwise misusing the Website or behaving inappropriately in the opinion of the Team leader. If you are a Team leader, you agree to exercise this authority responsibly. If you are registering as a Team member, you agree to cooperate with any decision to remove you and you agree that yourlidmatters.com (including General Mills, Inc. and its affiliates) has no responsibility to redress such removal in any way.
13) DISCLAIMER. YOURLIDMATTERS.COM (INCLUDING GENERAL MILLS, INC. AND ALL AFFILIATES THEREOF) WILL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS REGISTRATION AGREEMENT; OR USE OF THE WEBSITE, WHETHER IN CONTRACT OR IN TORT, EVEN IF WE HAVE BEEN ADVISED OF (OR KNEW OR SHOULD HAVE KNOWN OF) THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN TYPES OF DAMAGES, SO THESE PROVISIONS MAY NOT APPLY TO YOU. IF ANY PORTION OF THESE LIMITATIONS ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF YOURLIDMATTERS.COM (INCLUDING GENERAL MILLS, INC. AND ALL AFFILIATES THEREOF) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
14) Miscellaneous. This Registration Agreement will be governed by the laws of the United States of America and the State of Minnesota, without regard for conflict of laws provisions. You may not assign this Registration Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Registration Agreement will be binding on, inure to, and be enforceable against the parties and their respective successors and permitted assigns. Our failure to enforce your strict performance of any provision of this Registration Agreement will not constitute a waiver of our right to enforce such provision or any other provision of this Registration Agreement subsequently. This Registration Agreement is in addition to, and does not supersede or modify, the terms and conditions of use of the web sites of yourlidmatters.com.
